Details of the Privatization Deal

Canadian firm Fairfax Financial Holdings will acquire a 60.72% stake in IDBI Bank for about ₹53,000 crore ($5.5 billion). This is the largest foreign investment ever made in an Indian bank and marks a critical milestone in the long-anticipated privatization of the Indian banking sector. The Cabinet’s Economic Affairs Committee approved Fairfax’s subsidiary, 10955230 Canada Inc, as the strategic buyer.

Fairfax will purchase the government’s 30.48% stake valued at ₹26,620 crore and the Life Insurance Corporation of India’s (LIC) 30.24% holding worth ₹26,440 crore. The deal price is ₹81 per share, higher than the fair value of ₹75.99 per share estimated by two independent valuers. The transaction is led by Canadian industrialist Prem Watsa.

The privatization process began in 2022, positioning this deal as the largest in the banking sector and part of ongoing efforts to reduce government ownership in commercial enterprises. Earlier this year, the government had paused the sale after financial bids fell below the reserve price.

Finance Minister Nirmala Sitharaman described the deal as a major achievement, highlighting the government’s role in rescuing IDBI Bank from financial difficulties and now enabling growth through proposed restructuring. She emphasized that the move will strengthen India’s banking system and align bank services with global standards, reaffirming the country’s economic resilience and commitment to reforms.

This strategic divestment follows the Air India sale, making it the largest strategic disinvestment by the government to date. It signals a new chapter in the privatization of public sector banks, creating opportunities for enhanced efficiency and competitiveness within the sector.

IDBI Bank’s sharp share price rise reflects strong investor confidence in the bank’s future prospects under Fairfax’s ownership. The deal is expected to support improved governance, capital resources, and operational performance, contributing to a stronger and more dynamic banking environment in India.
