Legal Backing for N. Chandrasekaran’s Third Term at Tata Sons; Noel Tata’s Objection Rejected — What Happens Next?

Mumbai, Maharashtra

The dispute between Tata Sons and Tata Trusts over the reappointment of N. Chandrasekaran as Chairman for a third term has intensified. Tata Sons has rejected the objection raised by Noel Tata and has presented three legal opinions supporting its decision. According to these opinions, the board’s decision on September 17, 2026, to extend Chandrasekaran’s tenure was in accordance with the company’s Articles of Association (AoA).

The dispute emerged after Tata Trusts raised questions about Chandrasekaran’s reappointment during a board meeting. Tata Sons has since defended the decision based on legal opinions from prominent legal experts.

Casting Vote at the Centre of the Dispute

The dispute primarily revolves around Article 121 of the company’s Articles of Association. The provision deals with majority requirements and the consent of certain directors for board decisions. It also reportedly provides the Chairman with a casting vote in the event of a tie.

Tata Sons maintains that the procedure followed by the board was consistent with the company’s internal rules.

Legal opinions reportedly provided by former Supreme Court judges Justice B. N. Srikrishna and Justice Uday U. Lalit have also concluded that the board’s decision regarding Chandrasekaran’s reappointment, including the use of the Chairman’s casting vote, was consistent with the applicable provisions.

What Happens Next?

Despite the objection from Tata Trusts, Tata Sons remains firm on its decision. The next phase is likely to depend on discussions between the two sides as well as any potential legal proceedings.

For now, the central issue in the dispute over Chandrasekaran’s third term remains the validity of the board process and the interpretation of Tata Sons’ Articles of Association.
